Advanced Manufacturing Services Ltd. – Conditions of Sale

1. Invoicing and Payment

If payment is not made within 30 days from the date of our invoice, we shall be entitled to charge interest at 2% per month (24% per annum). Neither the legal nor the equitable title in the goods shall pass to you until the goods have been paid for in full. Until such time as title in the goods has passed to you we shall be entitled to retake all or any part of the goods in which title remains vested in us and for this purpose we or our agents or authorised representatives shall be entitled to enter upon any of your premises where they are held or are reasonably believed to be held and repossess the same

2. Offers and Orders

Our offers are made without obligation and are valid for thirty(30) days unless otherwise agreed. Oral agreements shall be binding only if and insofar as they are confirmed in writing or if they are fulfilled by shipment of goods and submission of the invoice.

3. Delivery

We shall be relieved from delivery as long as the buyer is in arrears with payments. If in our sole discretion, there is doubt about solvency of the buyer, we reserve the right to stop further deliveries, unless satisfactory security is provided or advance payment is made. Force majeure, breakdowns, shortage of labour, power or raw materials, strikes, lock-outs, transport hold-ups and official restraint shall extend delivery dates for a reasonable period of time. They shall also entitle us to withdraw from the unfilled sections of the contract without incurring any liability.

4. Shipment

All shipments are effected at the buyer’s risk unless express written agreements to the contrary (e.g. f.o.b. cr c.i .f.) have been made. Route and mode of transportation shall be chosen by us. Buyer’s wishes shall be credited. Freight and insurance charges,where applicable, shall be based on the rates obtainable at the date of shipment.

5. Guarantee

The seller guarantees (a) any if its new products to be free from defects in material or workmanship over a period of up to 6 months (except as otherwise noted) from date of shipment from its factory. (b) Seller shall not be liable for special or consequential damages in case of failure to meet the conditions of any guarantee in Shipping Schedule, nor will claims for labour, loss of profit or good will, repairs of other expenses incidental to replacement be allowed. No other representations, guarantees or warranties, expressed or implied, are made by the seller in connection with the manufacture and sale of equipment.

6. Returned Materials

Written permission to return goods must be obtained from the company and a minimum service charge of 25% will apply on goods accepted for return. Only material currently manufactured and regularly carried in stock will be considered for return. Service charges will be determined after inspection of returned materials and the amount of service charge will depend upon the condition of the material, packaging, etc. We reserve the right to reject any request for the return of material purchased more than twelve (12) months prior to date of that request. All return shipments travel at the risk of the shipper.

7. All sales are conditional

We shall retain our right, title and interest in all delivered goods until the purchase price is paid to us in full. The buyer shall be obliged to co-operate in measures that we undertake to protect our right, title and interest in and to the goods sold and delivered. The buyer shall be obliged to inform us immediately of all third party action, if any.

8. Cancellation

Orders are not subject to cancellation or changes in specification, shipping schedules or other conditions originally agreed upon without seller’s written consent and then only upon agreement to compensate the seller for loss caused by such cancellation charges, up to a maximum of 110% of original order value.

9. Changes to Terms and Conditions of Sale

We reserve the right to make minor changes to this agreement from time to time.

10. Data Protection

You consent to the computer storage and processing of your personal data by us in connection with this agreement and to the transmission of data across the company and its business partners for the purposes of our legitimate interests including marketing of our services and credit control. If you breach this agreement, your personal data may be disclosed or passed to third parties to the extent necessary to assist recovery procedures.

11. Applicable Law, Jurisdiction, Arbitration

All sales (orders and deliveries) are governed by the laws of the United Kingdom.
